End User License Agreement and Terms of Use
Auvita for Mac and Windows · Auvita for iPhone · Auvita cloud services
Effective date: 11 October 2026
This End User License Agreement and Terms of Use ("Terms") is an agreement between you and Auvita ("we", "us"), reachable at info@auvita.app. It covers Auvita for Mac and Windows (the desktop app, including its command-line tool, local dashboard and browser extensions); Auvita for iPhone; and the Auvita account, token and cloud AI services (together, "Auvita" or the "Services"). By installing, opening or using the Services you accept these Terms and our Privacy Policy. If you don't agree, don't install or use the Services.
Key points
- We give you a licence to use the software. We don't sell it to you.
- You are responsible for your YouTube channel. The Auvita desktop app uploads only what you approve, but you must follow YouTube's rules, including its rules on AI-generated and repetitive content.
- When you use your own API keys, your agreement with that provider applies, and the provider bills you.
- Tokens pay for cloud AI generations. They have no cash value and are non-refundable, except where the law, Apple or these Terms say otherwise.
- Subscriptions renew automatically until you cancel.
- The software is provided "as is". AI outputs may be similar to other people's, and you are responsible for how you use them.

1. Eligibility and accounts
- You must be at least 13 years old (or older if your country requires it, for example 16 in some EEA countries), and old enough to hold a YouTube account where you live. If you are under the age of majority, your parent or guardian must accept these Terms for you.
- The desktop app works without an account. An Auvita account is needed for cloud AI generation, tokens and purchases. You can sign in with Apple (iOS), Google, or an email and password.
- Keep your sign-in details, API keys and computer secure. You are responsible for activity on your account and on YouTube channels you connect.
- One person per account. Creating multiple accounts to collect free tokens is not allowed.
2. Software licence (EULA)
Licence. Subject to these Terms, we grant you a personal, worldwide, non-exclusive, non-transferable, non-sublicensable, revocable licence to download, install and use the Auvita desktop app on computers you own or control, and the Auvita app on Apple devices you own or control, for your personal or commercial creative work.
Restrictions. Except as these Terms or applicable law allow, you may not:
- copy, modify or create derivative works of the software;
- sell, rent, lease, sublicense, distribute or host the software, or its visual effects and presets, as a standalone product or service;
- reverse engineer, decompile or disassemble it (except to the extent the law expressly permits this despite this restriction, for example for interoperability);
- remove proprietary notices; or
- get around licence checks, token accounting, rate limits or security measures.
Open-source components. The software includes open-source components that are licensed under their own terms. Those licences govern those components, and nothing in these Terms limits your rights under them. Apart from those components, the Auvita software is proprietary and is licensed, not sold, under these Terms.
Updates. We may release updates that fix bugs, add or remove features, or are needed to keep working with YouTube, AI providers or operating systems. Older versions may stop working with the Services.
Installation. Download Auvita only from our official links. Rendering videos uses your computer's processing power and disk space, so keep backups and enough free space.
Ownership. We and our licensors keep all rights in the software not expressly granted to you. The licence ends automatically if you breach these Terms. When it ends, you must stop using the software and delete your copies.
3. The Services
The Auvita desktop app helps you assemble music videos from your own audio or AI-generated songs. It creates cover art, titles, descriptions and tags, renders videos on your computer and, after your approval or on a schedule you set up, uploads them to your YouTube channel. Auvita for iPhone turns audio into music visualizer videos and offers optional cloud AI generation.
We continually improve the Services and may add, change or remove features, models or providers. AI models and third-party APIs can be slow, fail, change or be discontinued. We don't guarantee that any particular model, provider or integration will remain available. If a cloud generation fails, the tokens reserved for it are returned automatically.
4. YouTube
- The Auvita desktop app uses the YouTube API Services. By connecting a YouTube channel you agree to be bound by the YouTube Terms of Service, and Google's use of your data is governed by the Google Privacy Policy. See our Privacy Policy for how the Auvita desktop app handles YouTube data.
- You control what is uploaded. The Auvita desktop app uploads a video only after you approve it in the app, or according to a schedule or automation that you configured. You are the uploader and are fully responsible for every upload: its content, title, description, tags, thumbnail, privacy setting and timing.
- You must comply with YouTube's Terms of Service, Community Guidelines, copyright rules, and the YouTube Partner Program and monetization policies. These include YouTube's rules on altered or synthetic content, reused content, and mass-produced or repetitive content, as well as its policies against spam, misleading metadata and deceptive practices.
- The Auvita desktop app labels uploads as containing altered or synthetic content and as not made for kids. You are responsible for keeping these and any other YouTube disclosures accurate.
- YouTube and Google may limit uploads (for example through API quotas), reject videos, issue copyright claims or strikes, demonetize, or suspend or terminate channels. We are not responsible for any action YouTube or Google takes on your videos or channel, or for lost views, revenue or access.
- The Auvita desktop app is not affiliated with, endorsed by or sponsored by YouTube or Google. YouTube is a trademark of Google LLC.
- You can revoke Auvita's access at any time in your Google Account permissions.
5. Your own API keys and third-party AI providers
- The Auvita desktop app lets you connect AI services such as fal.ai, Anthropic (Claude API or Claude Code), ElevenLabs and kie.ai using your own accounts and API keys. Those requests are made directly from your computer, under your agreement with that provider. You must follow the provider's terms, usage policies and model licences, including any limits on commercial use of outputs.
- The provider bills you for that usage. Cost estimates shown in the Auvita desktop app are for information only and may be inaccurate. We are not responsible for provider charges, including charges caused by scheduled or automated jobs you set up, retries, or keys you expose.
- You are responsible for keeping your API keys secure and for revoking them if they are compromised.
- Auvita's browser extensions automate actions in your own browser on third-party sites (such as suno.com) at your request. You are responsible for making sure your use of those sites complies with their terms.
6. Tokens
- Tokens are a limited, non-transferable licence to use cloud AI generation in the Services. They are not money, have no cash value, and cannot be exchanged for cash, transferred or sold.
- You get tokens from subscriptions, token packs and any free starter tokens we offer (for example once per account after email verification).
- The token cost of a generation is shown or checked in the app before you start and can differ by model. We may change token costs and the approximate number of songs or images that a plan or pack represents. Changes don't affect generations already started.
- Tokens are used when a generation starts and returned if it fails. They are not returned because you dislike a successful result.
- Unused tokens do not expire while your account exists; subscription tokens roll over to the next period. Deleting your account forfeits remaining tokens.
- If a purchase is refunded, reversed or charged back, we may remove the corresponding tokens.
7. Subscriptions and purchases
- On iOS, purchases are made through Apple In-App Purchase and billed to your Apple ID under Apple's terms.
- On desktop and the web, purchases are made through Stripe, which processes your payment. Prices, currency and taxes are shown at checkout.
- Plans: Pro (US$5.99 per month) and Studio (US$19.99 per month). Token packs: one-time purchases. The price you see at checkout may differ by country and includes or adds applicable taxes. Each paid period adds that plan's monthly tokens to your balance.
- Automatic renewal: subscriptions renew automatically at the end of each period at the then-current price until you cancel. For Apple, cancel at least 24 hours before the period ends; your Apple ID is charged within 24 hours before renewal.
- Cancelling: for Apple, go to iOS Settings › your name › Subscriptions. For Stripe, open the billing portal from the Account page in the app. Cancelling stops future renewals, and you keep your plan until the end of the paid period. Deleting the app or your account does not cancel a subscription.
- Changing plans mid-period may credit only the difference in monthly tokens for that period. Free trials, promotional offers and Family Sharing may include plan features without monthly tokens.
- Refunds: Apple handles refunds for Apple purchases (reportaproblem.apple.com). For Stripe purchases, contact us at info@auvita.app. Except where the law, Apple's policies or these Terms require otherwise, payments and tokens are non-refundable.
- Right of withdrawal: if you are a consumer in the EU, UK or Turkey, you agree that digital content (tokens and plan benefits) is supplied immediately after purchase. You acknowledge that you therefore lose your statutory right of withdrawal once supply has begun, to the extent the law allows.
- Purchases are credited to the Auvita account you were signed in to when you bought them.
8. Your content
Audio, images, projects and videos you add or render ("Your Content") stay on your device, unless you upload them to YouTube or send them to a provider yourself. You keep all rights in Your Content. You confirm that you have every right needed to use it, including the rights to synchronise music with video and to publish it on YouTube. Prompts and lyrics you submit for cloud generation are sent to our AI provider to produce the result, and you grant us and our providers the permissions needed to do so.
9. AI-generated content
- Ownership. As between you and us, and to the extent permitted by law and by the model providers' terms, we claim no ownership of music, images or text you generate ("Outputs"), and we assign to you any rights we may have in them. We don't use your Outputs to promote the Services without your permission.
- No guarantee of rights. Outputs are produced by third-party AI models. In some countries AI-generated works may not be protected by copyright, and model licences may add restrictions. We don't promise that an Output is original, exclusive, protectable, monetizable, or free of third-party rights. Each model's own licence and commercial-use terms, as published by fal.ai and the model's developer, also apply to its Outputs; check them before commercial use.
- Similar outputs. Models can produce the same or similar outputs for different users. You have no claim against us or other users for that.
- Your responsibility. You are responsible for your prompts and for how you use Outputs. That includes publishing them on YouTube or other platforms, distributing or registering them with distributors, content ID systems or rights organisations, and following each platform's rules on AI content and disclosure.
- Hosting. Cloud-generated files are hosted by our AI provider, and their links may stop working. Save what you want to keep.
10. Acceptable use
You must not use the Services, including prompts, lyrics, Outputs, uploads and automation, to:
- break any law, or infringe intellectual property, privacy, publicity or other rights. This includes imitating a real artist's voice or likeness, or uploading copyrighted music, lyrics or artwork without permission;
- create sexual content involving minors, or content that exploits or endangers children;
- harass, threaten or defame anyone, or promote violence or hatred;
- create sexually explicit content of real people, or deceptive content (such as deepfakes) intended to mislead;
- promote terrorism, self-harm or illegal goods and activities;
- spam YouTube or other platforms, use misleading titles, tags, descriptions or thumbnails, artificially inflate views or engagement, or otherwise get around YouTube's policies or API quotas;
- spread malware, spam or scams, or pass off Outputs as human-made where that is deceptive or prohibited;
- get around token costs, rate limits, moderation or security (for example with scripts, fake accounts, modified apps or other people's purchases), or interfere with the Services;
- resell or provide access to the cloud Services to others, or use them to build a competing AI product.
AI providers apply their own safety filters, and we automatically screen cloud generation prompts. We may block prompts, refuse or remove generations, and take the steps in section 13 when we reasonably believe these rules have been broken. You can report a cloud generation from within the app.
11. Our intellectual property
The Services, including the software, visual styles, effects, presets, templates, design, and the Auvita name and logos, belong to us or our licensors. You may freely use and publish videos you render with the Services, including their visual effects. You may not use our names or logos in a way that suggests we endorse you. If you send us feedback or suggestions, we may use them without obligation to you.
12. Third-party services
The Services rely on third parties, including Google (YouTube, Firebase), Apple, Stripe, Cloudflare, fal.ai and the AI models it hosts, and any providers you connect yourself. Their availability, pricing and terms are outside our control, and we aren't responsible for them. Links to free-asset sites and other third-party sites are for convenience only. Check each asset's licence before you use it.
13. Suspension and termination
- You can stop using the Services at any time, uninstall the apps, and delete your account in the app (Account › Delete account).
- We may suspend or close your account, remove tokens obtained through abuse, or limit features if you breach these Terms, if the law requires it, or to protect users, providers or the Services. Where reasonable we'll tell you why and give you a chance to respond.
- If we discontinue a Service, we'll give reasonable notice and handle unused paid tokens as required by law. Desktop features that don't depend on our servers may keep working, but we don't promise this.
- Sections 2 (restrictions and ownership), 4, 5, 9, 11, 14, 15 and 17 survive termination.
14. Disclaimers
TO THE EXTENT PERMITTED BY LAW, THE SERVICES, THE SOFTWARE AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. THIS INCLUDES WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION. WE DON'T WARRANT THAT UPLOADS WILL SUCCEED, THAT VIDEOS WILL BE ACCEPTED OR MONETIZED BY YOUTUBE, OR THAT THIRD-PARTY APIS WILL KEEP WORKING.
Nothing in these Terms limits consumer rights that can't be excluded under the law of your country of residence.
15. Limitation of liability
TO THE EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR:
- INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES;
- LOSS OF PROFITS, REVENUE, DATA, GOODWILL OR CONTENT;
- YOUTUBE CHANNEL STRIKES, DEMONETIZATION, SUSPENSION OR TERMINATION;
- CHARGES FROM THIRD-PARTY PROVIDERS YOU CONNECT.
OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AND (B) US$50.
These limits don't apply to liability for death or personal injury caused by negligence, for fraud or wilful misconduct, or to any other liability that can't be limited by law.
To the extent permitted by law, you agree to indemnify us against third-party claims arising from Your Content, your prompts, your uploads, your use of Outputs, or your breach of these Terms.
16. Apple App Store terms
If you downloaded Auvita from the App Store:
- These Terms are between you and us, not Apple. Apple is not responsible for the app or its content.
- Your licence is limited to Apple-branded products you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions. Apple's Standard Licensed Application End User License Agreement also applies. Where it conflicts with these Terms, these Terms prevail to the extent permitted.
- Apple has no obligation to provide maintenance or support for the app.
- If the app fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the app's purchase price (if any). To the maximum extent permitted by law, Apple has no other warranty obligation.
- We, not Apple, are responsible for claims relating to the app. These include product liability claims, claims that it fails to meet legal or regulatory requirements, consumer protection claims, and intellectual property infringement claims.
- You confirm that you are not located in a country subject to a U.S. Government embargo or designated as "terrorist supporting", and are not on any U.S. Government list of prohibited or restricted parties.
- Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
17. Governing law and disputes
These Terms are governed by the laws of the Republic of Türkiye, excluding its conflict-of-law rules, and the courts and enforcement offices of Istanbul (Çağlayan) have jurisdiction. If you are a consumer, you also keep the protection of the mandatory laws of your country of residence and may bring claims in its courts. Consumers in Turkey may apply to the Consumer Arbitration Committees and Consumer Courts within the statutory limits. Before starting a dispute, please contact us so we can try to resolve it informally. EU consumers can find dispute resolution information at consumer-redress.ec.europa.eu. We are not obliged to take part in alternative dispute resolution unless the law requires it.
Export. You must comply with applicable export control and sanctions laws when you use the software.
18. Changes and general terms
We may update these Terms. We'll change the effective date and, for material changes, notify you in the app at least 14 days before they take effect, unless a change is required by law or to address abuse sooner. Continuing to use the Services after that means you accept the changes. If you don't agree, stop using the Services and delete your account. Earlier versions are available in this repository's history.
If any part of these Terms is unenforceable, the rest remains in effect. Not enforcing a provision is not a waiver. You may not transfer these Terms; we may transfer them to a successor of the business. These Terms and the Privacy Policy are the entire agreement between you and us about the Services. If a translation differs from the English version, the English version prevails except where the law requires otherwise.
